Articles of IncorporationArticles of Incorporation are usually 2 or 3 pages long and state the name of the association and the general purpose for which it was formed. The Articles are filed with the Secretary of State.

BylawsBylaws establish policy and procedures for the governing of the association. They establish qualifications for election of directors, their number and term of office, their powers and duties, the appointment of officers, when and how meetings are called, quorum requirements, committees, etc.

Covenants, Conditions, & RestrictionsThe Declaration of Covenants, Conditions & Restrictions, otherwise known as the "Declaration" or the "CC&Rs", describes the rights and obligations of the membership to the association, and the association to the membership. This includes maintenance responsibilities and restrictions on the use of property. To be effective, CC&Rs must be recorded. Civil Code §1355 (a)

Election RulesBeginning July 1, 2006, all associations are required to adopt election rules that comply with Civil Code §1363.03 to include (i) nomination procedures, (ii) candidate qualifications, (iii) a method of selecting independent third parties as inspectors of election, (iv) rules regarding access to association media during campaigns, (v) rules regarding access to common area meeting space during campaigns, (vi) secret balloting procedures, etc.
